Contractual terms for CLINVERUM
Last updated: 16 September 2026
1. Provider and scope
CLINVERUM is a software product of moshar media, proprietor Sasan Moshar, Utrilloweg 31, 60438 Frankfurt am Main, Germany. Contact: info@clinverum.de, telephone 069 95806750.
These terms apply to the external offering of CLINVERUM during its development and trial phase. The offering is intended for prospective customers and customers acting in the course of their business or independent professional activities.
These terms form part of a trial agreement when their application is agreed. Individually negotiated agreements take precedence.
2. Development status and product presentation
CLINVERUM is in development. The website provides information about its development status and intended workflows. The features shown may differ in scope and availability. Content marked as a preview does not constitute a promise that a feature is already available.
The presentation on the website is not a binding offer to enter into a software contract. The features to be provided for a specific trial are defined in a service specification before the trial begins. Agreed services and statutory obligations remain binding.
3. Contact enquiries and demo requests
A contact enquiry or demo request does not establish a software usage agreement or an obligation to purchase or subscribe. A confirmed demonstration appointment does not, by itself, confer a right to individual software access.
Participation in an external trial requires a separate agreement. Merely visiting the website does not constitute acceptance of these terms.
4. Agreeing a trial
Before trial access is provided, the parties agree in particular on:
- the modules included and the permitted trial purpose;
- the authorised participants, the operating location and responsibilities for operation;
- known limitations and the intended feedback channels;
- the start, duration, termination and any extension;
- the scope of support and any applicable costs;
- the use of test data and the handling of data when the trial ends.
Any subsequent extension of the trial scope will be agreed separately. Development status does not confer an unrestricted right to change agreed services unilaterally.
5. Trial purpose and data
The trial described here serves to evaluate agreed interaction and organisational workflows. Only artificially generated test data with no connection to identified or identifiable natural persons is used.
These terms do not authorise use for diagnosis, treatment decisions or patient care. The trial environment is not an emergency or care system.
Any use beyond this involving personal data requires a separate agreement and prior clarification of the necessary data protection, security and, where applicable, medical device regulatory requirements. The designation “beta” does not replace these requirements.
6. Access and usage rights
For the agreed trial period, the participant receives a non-exclusive, non-transferable right to test the software provided within the agreed scope. Access may only be used by authorised persons. Access credentials must be protected against unauthorised use.
Participation in the trial does not create an entitlement to transfer of the source code, redistribution or permanent use. Mandatory statutory usage rights and applicable rights under licences for third-party components remain unaffected.
7. Prices and subsequent regular operation
A general pricing model for subsequent regular operation has not yet been determined. Whether a specific trial is free of charge or subject to a fee will be expressly agreed before it begins. Additional services subject to a fee require prior agreement.
Participation in the trial does not automatically convert into paid regular operation. A subsequent software contract requires a separate agreement on services, usage rights and prices.
8. Support, limitations and the end of the trial
Contact channels, support hours, maintenance and any agreed response times are set out in the respective trial agreement. These terms do not promise round-the-clock support or a specific date for general market launch.
Known limitations are described before the trial begins. Errors and security issues that arise should be reported through the agreed contact channel.
The right to use the software for the trial ends at the agreed end of the trial. Options for preserving trial results, any export deadlines and deletion of test data are determined before the trial begins. Statutory retention and deletion requirements remain unaffected.
9. Data protection
The privacy notice for clinverum.de applies to website visits, contact enquiries and demo requests. Participants receive the relevant information about the processing of personal contact data within a trial.
Where data is processed on behalf of a controller, an agreement under Article 28 GDPR is required before the processing concerned begins. These terms replace neither such an agreement nor the necessary technical and organisational safeguards.
10. Statutory rights and liability
Statutory provisions apply to failures in performance, defects and damage. Designation as a development version or beta does not exclude statutory claims across the board.
Statutory obligations applicable to moshar media as provider or manufacturer of the agreed service remain in effect. The participant’s professional responsibility does not replace these obligations.
11. Applicable law
German law applies. Mandatory statutory provisions remain unaffected. If a provision has not become part of the contract or is invalid, the consequences are governed by statutory provisions.
